6. Payment Terms

- Invoices are payable within 30 days unless otherwise agreed
- Late payments may incur interest charges as permitted under UAE law
- We reserve the right to suspend services for non-payment
- All fees are exclusive of applicable VAT (5%) and other taxes as per UAE regulations
7. Confidentiality
We respect the confidentiality of your business information. Both parties agree to:
- Protect confidential information disclosed during the business relationship
- Use confidential information only for the purpose of providing/receiving services
- Not disclose confidential information to third parties without consent
- Return or destroy confidential information upon request or termination of services
8. Service Availability and Support
While we strive to provide uninterrupted services, we do not guarantee that our services will be available at all times. We reserve the right to:
- Modify, suspend, or discontinue any service with reasonable notice
- Perform scheduled maintenance with prior notification
- Address emergency technical issues without advance notice
9. Warranties and Disclaimers
We warrant that our services will be performed with professional care and skill. However:

- We do not guarantee that our services will meet all your requirements

10. Limitation of Liability

- JaziraalahlamTech shall not be liable for indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the amount paid for the specific service in question
- We are not liable for losses resulting from your misuse of our services
- Force majeure events (acts of God, war, government actions) excuse performance obligations
11. Indemnification
You agree to indemnify and hold harmless JaziraalahlamTech from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your violation of any UAE laws or regulations
- Your infringement of third-party rights
- Your misuse of our services
12. Termination
Either party may terminate the service relationship:
- For convenience with 30 days written notice
- Immediately for material breach of these Terms
- Immediately if the other party becomes insolvent or bankrupt
Upon termination, you must pay for all services rendered up to the termination date.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms or our services shall be:
- First attempted to be resolved through good faith negotiations
- If unresolved, submitted to arbitration at the Dubai International Arbitration Centre (DIAC)
- Arbitration to be conducted in Dubai in the English language
- The arbitration award shall be final and binding on both parties
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
15. General Provisions
- Entire Agreement: These Terms, together with any project agreements, constitute the entire agreement
- Severability: If any provision is found invalid under UAE law, the remaining provisions remain in effect
- Waiver: Failure to enforce any right does not constitute a waiver of that right
- Assignment: You may not assign these Terms without our written consent
- Language: In case of translation, the English version prevails
